Welcome to Kamakhya Analytics. These Terms and Conditions ("Terms") govern your access to and use of the analytics, consultancy, and research services, reports, website, and any related software (collectively, the "Services") provided by Kamakhya Analytics ("Kamakhya Analytics", "we", "us", or "our").

By accessing, signing a service agreement, or using our Services, you ("Client", "you", or "your") agree to be bound by these Terms.


1. Acceptance of Terms

By using our Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Description of Services

Kamakhya Analytics provides data analytics and business intelligence services, which may include, but are not limited to:

  • Providing marketing consultancy services and industry insights
  • Conducting research and analysis for business development
  • Personalizing and improving our website and user experience
  • Data collection, processing, and analysis as agreed upon in a separate Statement of Work (SOW) or service agreement

3. Data Protection and Privacy

Your privacy is a core commitment. Our data practices are governed by our Data Protection and Privacy Policy (the "Privacy Policy"), which is incorporated by reference into these Terms and is compliant with India's Digital Personal Data Protection Act (DPDP Act), 2023.

a) Information We Collect

By using the Services, you acknowledge that we may collect personal and business-related data, including but not limited to:

  • Contact details (name, email, phone number)
  • Company information (industry, size, and business interests)
  • User behavior on our website (via cookies and analytics tools)
  • Survey responses and market research participation
  • Communication preferences

b) How We Use Your Information

We use the collected data for specified, explicit, and legitimate purposes. These include:

  • Providing our marketing consultancy and insight Services
  • Conducting research and analysis

In accordance with the DPDP Act, you (as the "Data Principal") have specific rights over your personal data. You have the:

  • Right to Correction and Erasure: Request correction of inaccurate information or deletion of your data, subject to applicable legal frameworks in India
  • Right to Grievance Redressal: Opt out of data collection or marketing communications and lodge a complaint with the Data Protection Board of India if you believe your rights have been violated
  • Right to Nominate: Nominate another individual to exercise your rights in the event of your death or incapacity

8. Client Obligations

You agree to:

  • Provide accurate and complete information when requested
  • Ensure you have all necessary rights, consents, and permissions to provide any data (including third-party data) to us for processing
  • Use the Services and any resulting reports or insights in compliance with all applicable laws of India
  • Maintain the confidentiality of your account credentials

9. Intellectual Property

Our IP: We retain all right, title, and interest in and to our Services, including all underlying software, methodologies, and any materials created by us other than the final Deliverables.

Deliverables: Subject to your full payment, we grant you a non-exclusive, non-transferable license to use any final reports, dashboards, or insights ("Deliverables") provided to you for your internal business purposes only.

10. Payment

You agree to pay all fees as specified in your Service Agreement or Statement of Work (SOW).

  • Invoicing: As specified in your service agreement
  • Payment: Payments are due within 30 days of the invoice date
  • Taxes: All fees are exclusive of applicable taxes, which you are responsible for paying

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE MAKE NO WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WHILE WE STRIVE FOR ACCURACY, WE DO NOT WARRANT THAT THE INSIGHTS OR REPORTS WILL BE ERROR-FREE OR THAT ANY BUSINESS DECISIONS MADE BASED ON THE DATA WILL YIELD SPECIFIC RESULTS.

12. Indemnity and Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL KAMAKHYA ANALYTICS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROFITS OR DATA) ARISING OUT OF THE USE OF OUR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR IN CONNECTION WITH THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO US IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

13. Termination

For Convenience: Either party may terminate a Service Agreement with 30 days written notice, served through electronic mode.

For Cause: Either party may terminate this agreement immediately if the other party materially breaches these Terms and fails to cure such breach within 15 days of notice.

Effect of Termination: Upon termination, your right to access the Services will cease. Sections 3, 4, 5, 9, 12, and 14 shall survive termination.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu. For any grievances related to data protection, you may contact our DPO or lodge a complaint with the Data Protection Board of India.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the new Terms on our website or by email. Your continued use of the Services after such changes constitutes your acceptance.
